1. Introduction
1.1 These Terms and Conditions (“Terms”) govern your access to and use of the Deaf Cal website, located at deafcal.org and operated from Los Angeles, California, including any related services, features, and tools, such as our online directory and paid listings (collectively, the “Service”).
1.2 By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use the Service.
1.3 You represent that you are at least 18 years old or the age of majority in your jurisdiction and have the legal capacity to enter into these Terms, or you use the Service with the consent and supervision of a parent or legal guardian.
2. Definitions
2.1 “Directory” means the online listing of businesses, organizations, professionals, products, services, or other entities provided through the Service.
2.2 “User” means any person or entity that accesses or uses the Service, including visitors, account holders, and listing owners.
2.3 “Listing Owner” means a User who creates, claims, pays for, or manages a listing in the Directory.
2.4 “Paid Listing” means any listing or directory placement that requires payment of a fee, including featured or sponsored positions.
2.5 “Content” means any text, images, logos, graphics, reviews, links, or other material submitted, uploaded, or displayed on or through the Service.
3. Use of the Service
3.1 You agree to use the Service only for lawful purposes and in accordance with these Terms.
3.2 You must not:
Use the Service in any way that violates any applicable federal, state, or local law or regulation.
Impersonate any person or entity, or misrepresent your affiliation with a person or entity.
Interfere with or disrupt the operation of the Service or networks connected to the Service.
Attempt to gain unauthorized access to the Service, other accounts, computer systems, or networks.
3.3 We may, at our sole discretion, restrict, suspend, or terminate your access to all or part of the Service at any time, with or without notice, for any or no reason.
4. Accounts and Registration
4.1 To access certain features, including creating or managing listings and purchasing paid listings, you may be required to create an account and provide accurate, current, and complete information.
4.2 You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
4.3 You agree to notify us promptly of any unauthorized use of your account or any other breach of security.
4.4 We reserve the right to refuse registration, cancel accounts, or reclaim usernames at our discretion.
5. Directory Listings
5.1 Listings may be created by GLAD or by Listing Owners and may include business names, contact information, descriptions, images, categories, and other details.
5.2 Listing Owners are solely responsible for the accuracy, lawfulness, and completeness of information provided in their listings and agree to keep such information up to date.
5.3 GLAD does not guarantee that any listing is current, accurate, or complete and is not responsible for errors, omissions, or outdated information.
5.4 We reserve the right, but have no obligation, to review, edit, refuse, or remove any listing or Content at our sole discretion, including if we believe it is inaccurate, misleading, or violates these Terms or applicable law.
5.5 Placement, ranking, and display of listings (including search results and categories) may be influenced by various factors, including but not limited to relevance, user activity, and whether a listing is a Paid Listing.
6. Paid Listings and Payments
6.1 GLAD may offer free and paid listing options, including featured, highlighted, or sponsored placements, as described on the Service at the time of purchase.
6.2 By purchasing a Paid Listing or any other paid feature, you agree to pay all applicable fees, charges, and any taxes in effect at the time of purchase. Pricing, features, and durations will be clearly stated at checkout.
6.3 Unless otherwise specified, fees for Paid Listings are charged in advance, are non-refundable, and apply for the specified listing period, even if the listing is removed early by you or by us due to your breach of these Terms.
6.4 GLAD may change its fees and pricing from time to time. Any changes will apply to new purchases or renewals after the effective date of the change.
6.5 You authorize GLAD (and our payment processors) to charge your selected payment method for all amounts due. If your payment method is declined or fails, we may suspend or cancel your Paid Listing until full payment is made.
6.6 Some Paid Listings may renew automatically at the end of each term if you opt in to auto-renewal. You can manage or cancel auto-renewal in your account settings where available or by contacting us before your next billing date.
6.7 GLAD does not guarantee any particular results, traffic, leads, or revenue from Paid Listings. The value and performance of Paid Listings may vary.
7. User-Generated Content
7.1 You may be able to submit Content, including business information, logos, photos, reviews, ratings, comments, and messages. By submitting Content, you:
Grant GLAD a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such Content in connection with operating, improving, and promoting the Service.
Represent and warrant that you own or have the necessary rights and permissions to submit the Content and grant the above license.
Represent and warrant that the Content is accurate to the best of your knowledge and does not infringe any third-party rights, including intellectual property, privacy, or publicity rights.
7.2 You remain solely responsible for your Content and any consequences of submitting or publishing it.
7.3 GLAD may remove or disable access to any Content at any time for any reason, including if we believe it violates these Terms or applicable law, without any liability to you.
8. Reviews and Ratings
8.1 Users may be able to submit reviews or ratings about listed businesses or services. Reviews and ratings reflect the opinions of individual Users and not those of GLAD.
8.2 GLAD does not verify the accuracy of reviews or ratings and is not responsible or liable for any statements, opinions, or claims contained in them.
8.3 You agree not to submit reviews that are false, misleading, defamatory, offensive, or posted in exchange for payment or other incentives, except as permitted and disclosed by applicable law.
8.4 We may remove or moderate reviews or ratings at our discretion, including where we believe they are fraudulent, abusive, or violate these Terms.
9. Prohibited Content and Activities
9.1 You agree not to submit Content or engage in activities that:
Are false, deceptive, or misleading.
Are defamatory, obscene, pornographic, harassing, or otherwise offensive.
Promote illegal activities or provide instructions for illegal activities.
Infringe any intellectual property, privacy, or proprietary rights of others.
Contain spam, unsolicited advertising, or unauthorized commercial solicitations.
9.2 We may investigate and take appropriate legal or technical action for any violation of this section, including removing Content, suspending or terminating accounts, and cooperating with law enforcement.
10. Relationship Between Users
10.1 GLAD operates as a directory and information platform only. We do not endorse, guarantee, or recommend any business, product, or service listed in the Directory, whether or not it is a Paid Listing.
10.2 Any interactions, communications, or transactions between Users, including between customers and Listing Owners, are solely between those parties.
10.3 GLAD is not a party to, and has no responsibility or liability for, any agreements, payments, disputes, quality of services or products, or other dealings between Users.
11. Intellectual Property
11.1 The Service and all content provided by GLAD, including text, graphics, logos, icons, images, software, and design, are owned by or licensed to GLAD and are protected by intellectual property and other laws.
11.2 You may not copy, modify, reproduce, distribute, transmit, display, perform, or create derivative works from any part of the Service, except as expressly permitted in these Terms or with our prior written consent.
11.3 You may use the Service and view Content for your personal or internal business use only and not for resale or other unauthorized commercial exploitation.
12. Third-Party Websites and Services
12.1 The Service may contain links to third-party websites, services, or resources that are not owned or controlled by GLAD.
12.2 GLAD does not endorse or assume any responsibility for any third-party sites or services. Your use of such sites and services is at your own risk and subject to the terms and policies of those third parties.
13. Privacy
13.1 GLAD’s collection and use of personal information through the Service are described in our Privacy Policy, which is incorporated into these Terms by reference.
13.2 By using the Service, you consent to our collection, use, and disclosure of your information in accordance with our Privacy Policy and applicable California and U.S. laws.
14. Disclaimers
14.1 The Service, Directory, Paid Listings, and all information and Content are provided on an “as is” and “as available” basis, without any warranties of any kind, whether express or implied.
14.2 Without limiting the foregoing, GLAD does not warrant that:
The Service will be uninterrupted, timely, secure, or error-free.
Any information or Content obtained through the Service is accurate, complete, or reliable.
Any defects or errors will be corrected.
14.3 To the fullest extent permitted by law, GLAD disclaims all warranties, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
15. Limitation of Liability
15.1 To the fullest extent permitted by law, in no event shall GLAD, its affiliates, or their respective officers, directors, employees, agents, or licensors be liable for any:
Indirect, incidental, special, consequential, or punitive damages; or
Loss of profits, revenue, data, goodwill, or other intangible losses,
arising out of or in connection with your access to or use of, or inability to access or use, the Service.
15.2 To the fullest extent permitted by law, GLAD’s total aggregate liability for any claim arising out of or relating to these Terms or the Service shall not exceed the greater of:
The amount you paid to GLAD for Paid Listings or other services in the three (3) months preceding the event giving rise to the claim; or
One hundred US dollars (US$100).
15.3 Some jurisdictions do not allow exclusions or limitations of certain damages, so some of the above limitations may not apply to you. In such cases, GLAD’s liability shall be limited to the maximum extent permitted by law.
16. Indemnification
16.1 You agree to indemnify, defend, and hold harmless GLAD, its affiliates, and their respective officers, directors, employees, and agents, from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with:
Your use of or access to the Service;
Your violation of these Terms; or
Your violation of any rights of another person or entity, including intellectual property or privacy rights.
17. Suspension and Termination
17.1 GLAD may suspend or terminate your access to the Service, in whole or in part, at any time and for any reason, including if we believe you have violated these Terms or applicable law.
17.2 Upon termination, all rights granted to you under these Terms will immediately cease, but sections that by their nature should survive, including payment obligations, intellectual property, disclaimers, limitations of liability, and indemnification, shall continue to apply.
18. Changes to the Service and Terms
18.1 GLAD may modify or discontinue any part of the Service, including Paid Listings, at any time, with or without notice.
18.2 GLAD may update these Terms from time to time. When we do, we will revise the “Last updated” date above and, where required by law, provide additional notice.
18.3 Your continued use of the Service after the updated Terms become effective constitutes your acceptance of the changes. If you do not agree, you must stop using the Service.
19. Governing Law and Dispute Resolution
19.1 These Terms and your use of the Service are governed by and construed in accordance with the laws of the State of California and applicable federal laws of the United States, without regard to conflict of law principles.
19.2 Any dispute arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in Los Angeles County, California, and you consent to the personal jurisdiction and venue of such courts.
19.3 Before filing a claim, you agree to first attempt to resolve the dispute informally by contacting GLAD at the contact information below and allowing at least thirty (30) days for us to respond.
20. Severability and Waiver
20.1 If any provision of these Terms is held to be invalid or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.
20.2 GLAD’s failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
21. Entire Agreement
21.1 These Terms, together with our Privacy Policy and any additional terms applicable to specific features, services, or promotions, constitute the entire agreement between you and GLAD regarding the Service and supersede all prior or contemporaneous agreements and understandings.
